Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for licensed healthcare professionals and students in related fields. When you create an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Course Access and License

When you enroll in a course, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and view that course's content for your own professional education. This license is for individual use only.

3. Continuing Education (CE) Credit

Some courses are designed to award continuing education credit. You are responsible for the following:

• Completion requirements.CE credit is awarded only upon completion of all required course components, including any required assessments, in accordance with the course's stated requirements.
• Reporting and eligibility. Your ability to have credit reported to the AANA and applied toward certification or recertification may depend on your active membership status and on the accuracy of the identifying information you provide (including your AANA member number). It is your responsibility to provide accurate information and to confirm that the credit meets your individual licensing, certification, or employer requirements.
• No guarantee of acceptance. We do not guarantee that any credit awarded will be accepted by any particular board, employer, or other entity. Acceptance is determined by those bodies, not by Helix.

4. Educational Purpose; Not Professional Advice

All content provided through the Service is for general educational and informational purposes only. It is not, and must not be relied upon as, medical, clinical, legal, financial, or other professional advice for any specific patient, situation, or decision.

The Service does not create a provider-patient relationship, and it is not a substitute for your own professional judgment, training, institutional protocols, or applicable standards of care. You remain solely responsible for all clinical and professional decisions you make. Helix is not liable for any decision or action taken based on course content. Always verify information against current primary sources, your institution's policies, and applicable regulations before applying it in practice.

5. Intellectual Property

All course content, including videos, documents, templates, graphics, text, and the Helix Anesthesia Academy name and logo, is owned by Helix or its licensors and is protected by intellectual property laws. Except for the limited license in Section 2, no rights are granted to you.

6. Prohibited Conduct

You agree not to:

• Share, sell, sublicense, transfer, or provide access to your account or course content to anyone else;
• Copy, record, reproduce, distribute, publicly display, or create derivative works from course content, except as expressly permitted;
• Download, scrape, or extract content except where a specific download is expressly made available to you;
• Circumvent, disable, or interfere with any access controls, paywalls, or security features;
• Use the Service for any unlawful purpose or in violation of these Terms.

Violation of this section may result in immediate suspension or termination of your account without refund.

7. Payment, Pricing, and Refunds

Prices are stated at the point of purchase. You authorize us (and our payment processor) to charge the payment method you provide. Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

8. Disclaimers of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content is complete or current.

9. Limitation of Liability

To the maximum extent permitted by law, Helix and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid us for the course giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Helix and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any conduct we reasonably believe is harmful to the Service or other users. You may stop using the Service at any time.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a revised effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law
